CHATTERgo Affiliate Program Terms & Conditions

This Agreement outlines the terms and conditions governing your participation in the CHATTERgo Affiliate Program (the "Program"). The purpose of the Program is to promote the installation of CHATTERgo's application (the "App") on Shopify stores (each a "Merchant") by Affiliates (you, "Affiliate") using the Shoffi affiliate platform ("Shoffi"). By participating in the Program, you signify your agreement to these terms and conditions. If you do not agree to these terms, you must not proceed with your participation in the Program.

  1. Affiliate Obligations a. As an Affiliate, you are expected to market and promote the App to potential Merchants. b. You may use any marketing materials provided by CHATTERgo, and you must conform to legal and ethical marketing practices, refraining from spamming or misrepresentation. c. You must ensure that any merchants you refer to CHATTERgo are operating a fully functional production store, open to the public for conducting business transactions.

  2. Eligibility for Affiliate Incentives a. Affiliate incentives are provided for successful Shopify App installations that meet the following criteria: i. Installation of the App on a fully functional production Shopify store which is not operated solely for the purpose of obtaining affiliate commissions. ii. The referred Merchant must actively put the CHATTERgo widget on their live site, visible to visitors. b. Test stores, dummy stores, or non-operational stores will not be eligible for affiliate incentives. c. Incentives are controlled by Shoffi and will be based on the agreed commission structure at the time of referral.

  3. Commission and Payment Terms a. Affiliates will earn commissions as specified by the commission structure provided by Shoffi. b. Commissions are only earned if the installation remains active and compliant with the eligibility requirements for a minimum period defined by CHATTERgo. c. Payments will be processed through Shoffi, typically within a month following the end of the month in which the qualifying revenues are recognized. Payment schedules may vary according to the policies set by Shoffi.

  4. Termination a. The Affiliate's participation in the Program may be terminated by CHATTERgo if the Affiliate fails to comply with any of the terms outlined in this Agreement. b. CHATTERgo reserves the right to terminate the Program at any time, for any reason, providing reasonable notice to Affiliates via email or through the Shoffi platform.

  5. Modification a. CHATTERgo reserves the right to modify any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by posting a change notice or a new agreement on the Shoffi platform.

  6. Limitation of Liability CHATTERgo will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program.

  7. Indemnification You agree to indemnify, defend, and hold harmless CHATTERgo and its affiliates, officers, agents, employees, and service providers from any claim, demand, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to your participation in the Program.

By participating in the CHATTERgo Affiliate Program, you agree to the terms and conditions set forth in this Agreement.
